MyPrintedCoupons.com Sales Agreement

Lucent Concepts, Inc. (MyPrintedCoupons.com) Sales Agreement

1. The Agreement.

This agreement is between Lucent Concepts, Inc. and the Company submitting the business profile information via the MyPrintedCoupons.com business submission website page.

2. Consideration.

Lucent Concepts, Inc. Consideration. Lucent Concepts, Inc. shall provide a business profile website page, with the coupons requested, on the MyPrintedCoupons.com website which will include the information provided by Company on the business profile submission website page.

Company Consideration. Company shall provide necessary information and logo (JPEG format only) via the business profile submission website page. Company shall provide sufficient space for a website flyer (5” x 7”) or window decal (6” x 6”), provided by Lucent Concepts, Inc., to be posted at the Company’s physical location (and all locations listed on the website) in a prominent place for customers to see regularly.

3. Price.

The pricing is listed below, and is renewable at the same rate from month to month while the listing is active

    Business Listing = $20/month

    Corporate Listing = Call for details, separate agreement

    MLM Associate (Network Marketing) = $10/month (must verify your associate status first, call for details)

4. Payment.

The payment will be made electronically via Lucent Concepts, Inc.’s recurring monthly merchant services. The payment will be debited from the account provided at the end of each month of service until termination of the listing. The first payment will be processed approximately 30 days (1 calendar month) after initial activation, and approximately every 30 days (1 calendar month) thereafter

5. Term.

This agreement shall commence on the date the business profile listing is submitted. This agreement shall end on the day the listing is terminated by either party..

6. Legal Right.

Lucent Concepts, Inc. & Company each covenant and warrant that they have the unlimited legal right to enter into this Agreement and to perform in accordance with its terms without violating the rights of others or any applicable law and that they have not and shall not become a party to any other agreement of any kind which conflicts with this Agreement. Lucent Concepts, Inc. & Company shall indemnify and hold harmless the other company from any and all damages, claims and expenses arising out of or resulting from any claim that this Agreement violates any such agreements. Breach of this warranty shall operate to terminate this Agreement automatically and to terminate all obligations of Lucent Concepts, Inc.

7. The Waiver.

Failure to invoke any right, condition, or covenant in this Agreement by either party shall not be deemed to imply or constitute a waiver of any rights, condition, or covenant and neither party may rely on such failure.

8. Enforceability.

If any provision of this Agreement is held by a court of competent jurisdiction to be unenforceable, the reminder of the Agreement shall remain in full force and effect and shall in no way be impaired

9. Miscellaneous.

(A) Entire Agreement and Amendments. This Agreement constitutes the entire agreement of the parties with regard to the subject matter hereof, and replaces and supersedes all other agreements or understandings, whether written or oral. No amendment or extension of this Agreement shall be binding unless in writing and signed by both parties.

(B) Binding Effect, Assignment. This Agreement shall be binding upon and shall inure to the benefit of LC and the Company and to the Company's successors and assigns. Nothing in this Agreement shall be construed to permit the assignment by Company of any of its rights or obligations hereunder, and such assignment is expressly prohibited without the prior written consent of LC.

(C) Governing Law, Severability. This Agreement shall be governed by the laws of the State of Indiana. The invalidity or unenforceability of any provision of this Agreement shall not affect the validity or enforceability of any other provision.

10. Effective Date, Date Last Modified

This Sales Agreement is effective as of April 1, 2008. 
This Sales Agreement was last modified on January 8, 2010.
